ADVERTISING TERMS AND CONDITIONSThis Advertising Insertion Order ("Agreement") is a contract between Advertiser and EroticServiceProviders.com for the placement of Advertiser's advertisement(s) on the Website. By submitting materials for advertising on EroticServiceProviders.com, Advertiser holds true, represents and warranties to EroticServiceProviders.com its licensors, licensees, successors and assigns, and agrees to be strictly bound by the following advertising terms and conditions set forth from this Agreement.
Advertiser's Guarantees. The Advertiser assures its representation and guarantees EroticServiceProviders.com that the Advertiser is at least 18 years of age or older, has understood, read and fully agrees to be bound by all terms of this Agreement entirely and is owner and controls completely and is duly authorized to grant the rights and permissions which are granted in this Agreement.
Payments for Advertising. Advertiser is contracting to advertise with EroticServiceProviders.com. Changes and cancellations to this advertising insertion order must be made in writing. All advertisements are subject to the existing rate for that city. Rates may change at any time and without notice, solely at the discretion of EroticServiceProviders.com.
Intellectual Property /Ownership. The Advertiser agrees and completely acknowledges all content such as trademark, copyright and any other intellectual property rights in the EroticServiceProviders.com Website including all materials are under control and solely owned by EroticServiceProviders.com and its successors, assigns, and licensees and those rights can be duly sublicensed and assigned, or otherwise conveyed by EroticServiceProviders.com in its complete discretion. These rights include, but are not limited to, text, photographic images, any sounds, choice and layout of content; the design and production, generation and configuration as well as the manner of operating and the overall appearance of the EroticServiceProviders.com Website along with the means of conducting business in conjunction with the EroticServiceProviders.com Website. The Advertiser emphatically agrees, understands and acknowledges EroticServiceProviders.com can use such trademarks, copyright and any other notices EroticServiceProviders.com deems to be appropriate, when obtaining trademark, copyright and any other types of registrations, as well as prosecute any such acts of copyright and other infringements. In this Agreement, EroticServiceProviders.com is a Website and refers to each city operating in the United States and Canada, either in print or on the internet.
Content of Advertiser. Advertiser represents and guarantees that all photographic images, sounds and text and any other material supplied by Advertiser for advertising purposes on the EroticServiceProviders.com Website is owned completely by Advertiser, represents authenticity, depicts accuracy, lawfulness, the name (stage name or otherwise), accurate imagery, accurate likeness, voice and signature, personality traits or any other personal features of the Advertiser solely and no other individual or person, which may be completely and freely used without the risk of liability for any purpose with this Agreement, including but not limited to any such liability for invasion of privacy, defamation, obscenity, infringement of copyright, trademark, or right of publicity, or otherwise. The Advertiser's material will be provided to EroticServiceProviders.com at the complete cost of the Advertiser and at which time and in such manner EroticServiceProviders.com desires its usage.
Granting of Rights. It is understood that the Advertiser grants irrevocably to EroticServiceProviders.com all titles, interest and rights with respect to Advertiser Content, in all media globally, and the non-exclusive right to use photographic images, the name, any likeness, voice and sounds and any other personality or type of characteristics of the Advertiser in conjunction with Advertiser's advertisements on the EroticServiceProviders.com Website.
Advertising Guidelines. Advertiser represents, warrants, acknowledges and agrees as follows: (a) EroticServiceProviders.com does not engage in, or provide advertising for any illegal activities of any kind, including but not limited to solicitation of prostitution and/or prostitution; (b) Advertiser's advertisement(s) is not and will not be used to advertise, promote, offer or solicit any illegal activities of any kind, including but not limited to solicitation of prostitution and/or prostitution; (c) Advertiser has received, read, understood and agrees to strictly comply with the EroticServiceProviders.com Advertising Guidelines in placing advertising on the Website; (d) EroticServiceProviders.com shall enjoy the right to rescind this Agreement and remove Advertiser's advertising from the Website without refund or further obligation in the event that EroticServiceProviders.com determines that Advertiser is in breach of any term of this Agreement or the Advertising Guidelines, including but not limited to a determination that Advertiser has used the advertising in connection with any illegal activities of any kind.
Policies of Advertising. The Advertiser understands, agrees and acknowledges EroticServiceProviders.com reserves the right to revoke, decline or remove the Advertiser's advertisement(s), or any part from the EroticServiceProviders.com Website if it is deemed the Advertiser's advertisement(s) violates the EroticServiceProviders.com Guidelines of Advertising or such violation is determined inappropriate. EroticServiceProviders.com reserves the right to change its advertising rates and policies at any time and in its complete discretion. EroticServiceProviders.com neither warrants nor guarantees as to the advertising placement of any Advertiser's advertisement(s) in any order, location nor area on the EroticServiceProviders.com Website. In the event of failure to post the Advertiser's advertisement to the EroticServiceProviders.com Website, it will not be determined as a breach of this Agreement. It will automatically be extended to the extent of the excluded advertising. Any errors in the material of the Advertiser's advertisement(s) will be corrected by EroticServiceProviders.com in a reasonable amount of time as deemed by EroticServiceProviders.com and will not be considered as a breach of this Agreement.
Indemnification. The Advertiser shall indemnify, defend and hold harmless EroticServiceProviders.com and all their respective members, shareholders, officers, directors, employees, partners, associates, affiliates, agents, attorneys, and representatives and agents, from any and all claims, suits, proceedings, debts, demands, actions, and prosecutions based on any breach of this Agreement or any allegations which, if true, would constitute a breach of any of the foregoing warranties and representations, and any and all liabilities, damages, losses, expenses (including attorneys fees) and damages resulting in consequence.
Arbitration. If any dispute shall arise between the Advertiser and EroticServiceProviders.com regarding any aspect of this Agreement, these disputes shall be referred to binding private arbitration in the city where the business offices of EroticServiceProviders.com are located in accordance with the Rules of the American Arbitration Association, and any arbitration award shall be fully enforceable as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, the parties shall have the right to conduct discovery and the right to seek interim, preliminary and permanent injunctive relief in any court of competent jurisdiction during the pendency of the arbitration or to enforce the terms of any award in arbitration.
I hereby warrant and represent that I am of full age, 18 years or older, and have every right to contract in my own name with respect to the above.
I further represent that I have read this release and the terms thereof, prior to its execution and that I am fully familiar with the contents thereof.
